Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and KeepClaw Inc. ("KeepClaw", "we", "us") governing your access to and use of the KeepClaw platform and services (collectively, the "Service").

By creating an account, clicking "I agree", or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

KeepClaw provides a cloud-hosted platform that allows users to deploy, configure, and interact with AI agents powered by third-party large language models (including but not limited to OpenAI GPT-4.1, GPT-5.2, and Google Gemini Flash, Gemini Pro). The Service includes:

• A web-based chat interface for interacting with your AI agent.
• Agent hosting infrastructure operated by KeepClaw.
• Integration connectors for Telegram and Slack (availability depends on subscription plan).
• A usage dashboard with credit tracking and task history.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where practicable.

3. Account Registration

To use the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate.
• Keep your password confidential and not share it with any third party.
• Notify us immediately at security@keepclaw.ai if you suspect unauthorized access to your account.
• Accept responsibility for all activities that occur under your account.

You must be at least 13 years old to register. You may not create an account if you have previously been banned from the Service. KeepClaw reserves the right to refuse registration or cancel accounts at its discretion.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in a manner consistent with all applicable laws and regulations. The following are strictly prohibited:

Violations may result in immediate account suspension or termination without refund. We reserve the right to report illegal activity to appropriate authorities.

5. Subscription Plans and Billing

5.1 Plans

KeepClaw offers three paid subscription plans (Starter, Personal, Pro). Plan details, including included credits, compute resources, available features, and pricing, are described on our Pricing page and may be updated from time to time.

5.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis. All payments are processed by Stripe. By providing payment information, you authorize KeepClaw to charge the applicable fees to your payment method on each billing cycle.

5.3 Annual billing discount

Annual subscriptions receive a 20% discount compared to the equivalent monthly rate. Annual subscriptions are billed as a single upfront payment and are non-refundable except as described in Section 5.5.

5.4 Changes to pricing

We reserve the right to change subscription prices. We will provide at least 30 days' notice via email before any price change takes effect. Your continued use of the Service after the price change becomes effective constitutes acceptance of the new price.

5.5 Refunds

Monthly subscriptions are non-refundable once the billing cycle has begun. For annual subscriptions, you may request a refund within 7 days of your initial purchase or annual renewal. After 7 days, refunds are generally unavailable except in special circumstances. To request a refund, contact billing@keepclaw.ai. We reserve the right to deny refund requests in cases of abuse or violations of these Terms.

6. Credits and Usage

Each subscription plan includes a monthly credit allocation. Credits are consumed when your agent executes tasks (e.g., processing a chat message, performing a web search, sending a Telegram message).

• Credits reset at the start of each billing cycle and do not carry over to the next month.
• If you exhaust your credits, your agent will be paused until the next billing cycle begins or you upgrade your plan.
• Credit costs per action are documented in the Service dashboard and may be adjusted with 14 days' notice.
• Credits have no monetary value and cannot be exchanged for cash or transferred between accounts.

7. Intellectual Property

7.1 KeepClaw IP

The Service, including its design, software, trademarks, and content (excluding User Content), is owned by KeepClaw and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our IP without explicit written permission.

7.2 Your content

You retain all rights to the content you submit to the Service ("User Content"). By using the Service, you grant KeepClaw a limited, non-exclusive, royalty-free license to process your User Content solely for the purpose of providing the Service to you (e.g., sending your messages to AI providers).

7.3 AI-generated output

Ownership of AI-generated responses is subject to the terms of the underlying AI model provider. KeepClaw makes no representations regarding your ability to claim copyright in AI-generated content. You are responsible for verifying that your use of AI output complies with applicable law.

8. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of data as described in the

9. Third-Party Services

The Service integrates with third-party AI providers (OpenAI, Anthropic, Google) and communication platforms (Telegram, Slack). Your use of these integrations is also subject to the respective third-party terms of service and privacy policies.

KeepClaw is not responsible for the availability, accuracy, or conduct of third-party services. We do not endorse and are not liable for any third-party content, products, or services accessed through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• OPENCLAW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
• OPENCLAW'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO OPENCLAW IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless KeepClaw and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Service.

13. Termination

13.1 By you

You may terminate your account at any time by using the "Delete Account" function in Settings or by contacting support. Termination does not entitle you to a refund of any prepaid subscription fees, except as described in Section 5.5.

13.2 By KeepClaw

We may suspend or terminate your account immediately and without notice if we reasonably determine that you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the platform or other users.

13.3 Effect of termination

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination (including Sections 7, 10, 11, 12, and 15) will continue in force.

14. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice via email and a banner on the Service before the new terms take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-law provisions.

For disputes with a claim value under $10,000 USD, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA). For all other disputes, you agree to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California.

Class action waiver: You agree to resolve any disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
